1. Online Advertising and Marketing Services

Matrix offers a variety of services to improve your ads online visibility and by subscribing with us, you agree to the Terms of Service set forth below.

2. Advertising Material

Matrix has the right to place information pertaining to your business on any of the publishers, social media platforms, and ads providers such as those listed inside the Matrix ads platform and you authorize Matrix to develop content based on information or material provided by you or your designs and collected by Matrix including copy, form, size, text, graphics, names, addresses, phone numbers, URLs, logos, trade names, trademarks, service marks, endorsements, photographs or likenesses, and videos and Matrix have the full rights to change and stop or edit any of your provided content even without the need to get your approval on changes.

Further, you represent that the brand, product, or material and information you provide to Matrix is truthful, not misleading, and that you have the authority to represent this product and service information to Matrix if this information is misleading we do have the full authority to stop your ad or even suspend your full account.

Additionally, you authorize Matrix to contact your customers for the sole purpose of gaining endorsements and reviews of your products and services for publication.

Finally, after an ad is published through the Matrix platform we go into multiple stages for approvals and social media ads policies and guidelines which can take up to 48 hours for any campaign to be launched.

Based on the updated list of unacceptable practices you provided, here's an overview of the legal issues and risks associated with these activities:

  • IPTV promotions, medications, fake brands, politics, and affiliate marketing: These activities may involve intellectual property infringement, false advertising, or deceptive marketing practices, which can lead to legal consequences and damage to your reputation.
  • Adult or pornographic material: Engaging in the distribution or promotion of sexually explicit material can pose legal risks, especially if it involves minors or violates obscenity laws.
  • Offensive or distasteful material: Content that is harmful, threatening, abusive, or defamatory may result in legal consequences, including claims of harassment or defamation.
  • Bulk emailing and spamming: Unsolicited commercial emails (spam) are typically prohibited by anti-spam laws and can lead to legal penalties, reputational damage, and loss of internet service provider privileges.
  • Hacking, cracking, and phishing: Engaging in unauthorized access to computer systems, tampering with software, or attempting to deceive others to obtain personal information is illegal and can result in criminal charges.
  • Illegal activities: Any activity that violates local, state, national, or international laws, including copyright infringement, fraud, or illegal gambling, carries legal risks and potential sanctions.
  • MLM schemes: Multi-level marketing structures that do not have a genuine product or service, or primarily rely on recruiting new members, may be deemed pyramid or Ponzi schemes and subject to legal action.
  • Illegal substances, firearms, and fireworks: Selling or promoting illegal drugs, weapons, or explosives is not only illegal but also exposes your startup to significant legal risks and potential liability.
  • Links to other sites that violate Matrix policies and guidelines: Sharing links to websites that engage in prohibited activities or violate Matrix's policies can lead to consequences such as account suspension or termination.

Other activities that Matrix deems to be in poor taste or reflect adversely on Matrix or its clients: While this is a broad category, engaging in activities that harm Matrix's reputation or that of its clients may result in legal consequences, breach of contract claims, or damage to relationships.

Matrix retains the authority to halt or suspend ads, even if they have been approved by an external provider. This decision is based on Matrix's internal assessment of whether the ad should be stopped or temporarily suspended.
3. Privacy & Confidentiality

You are required to comply with Matrix's privacy policy, which can be found at https://Matrix.sa. You should review this policy on the Matrix website, as it may be updated by Matrix at its discretion.

4. Payment fees and subscriptions

Payment fees and subscriptions are determined based on your account settings and the location of your authorized card. You will receive receipts for wallet top-ups and official invoices once your campaigns are completed.

Cashbacks, airdrops, promotions, and free credits provided by Matrix cannot be cashed out or transferred to clients' cards or bank accounts. Additionally, these credits may have an expiration date and can be deactivated for use in the future.

To ensure continued access to our services, it is important that you keep your subscription payments up to date. This will guarantee uninterrupted functionality and full access to the services we provide.

Please note that there may be additional fees associated with the services provided to your account. These fees can arise from local authorities, such as value-added tax (VAT) or operational payment providers. Additionally, there may be exchange rate fees deducted from your payments. It is important to be aware of these potential fees and factor them into your financial planning.

All subscriptions and active or completed campaigns published on the platform are considered payment obligations that are non-cancelable and non-refundable. Once you have initiated and commenced a campaign, you are responsible for the associated costs and payments, and they cannot be reversed or refunded. It is important to carefully review and consider your campaigns before initiating them to ensure they align with your objectives and budget.

You have the option to cancel your subscription through the plans setting page in the platform. Additionally, you can delete your connected card from the platform.

Any remaining unused funds in your wallet and refunded amounts from incomplete campaigns can be refunded to the same payment funding source that was used for the initial payment. It is not permitted to transfer these funds to any other bank account other than the original payment funding source.

(Please note that the refund process may take from 3 to 7 business days to be completed)

You represent that you are authorized to provide any credit card or bank account information you use to sign up for the Services.

Matrix fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes or duties.

You will continue to be charged for the Services during any period of suspension.

5. Third Party Relationships

During the use of our services, it is possible that you may engage in transactions or interactions with third-party providers, such as Twitter Ads Payments, for the purpose of purchasing campaign fees or other related services.

Please be aware that any activities, terms, conditions, warranties, or representations related to third-party providers are solely between you and those providers.

Matrix does not accept any responsibility for payments or any issues arising from your interactions with such third parties.

It is important to carefully review and understand the terms and conditions set forth by these third-party providers before engaging in any transactions or interactions.

Please note that Matrix does not endorse any websites that are linked through the Services or any goods or services provided by third parties that are accessible through or incorporated into the Services.

Matrix does not assume any responsibility for the performance or results of campaigns, including data engagement or conversions, as Matrix serves as a third-party intermediary connecting advertisers with social media platforms and other providers.

6. Customer Obligations

As a customer using our services, you have certain obligations. These include:

Responsibility for Customer Content: You are solely responsible for all text, logos, images, and advertisements generated using our services ("Customer Content"). You represent that you have the necessary rights to publish the Customer Content and create advertisements. Additionally, you ensure that the Customer Content is accurate, complete, current, and compliant with the requirements set forth by Ad Networks (such as Google, Twitter, Snapchat, and Meta) regarding their respective Ad Network Programs. This includes adhering to trademark policies, editorial guidelines, creative limitations, and other applicable guidelines posted on their websites.

Authorization for Publication: You authorize Matrix to publish Customer Content and advertisements across advertising channels operated by the Ad Networks and any other networks included in our services. This includes their network of participating websites and other distribution outlets.

Compliance with Applicable Laws: You represent, warrant, and covenant to Matrix and its suppliers that you will comply with all applicable laws at all times.

Prohibition of Automated or Fraudulent Impressions or Clicks: You agree not to generate or encourage others to generate automated or fraudulent impressions or clicks on advertisements in any Ad Network.

Responsibility for Ad Network Program Accounts: You are responsible for obtaining and maintaining accounts necessary for the use of Ad Network Programs.

Advertisements and Legal Compliance: You ensure that your advertisements do not advertise illegal activities or constitute illegal or fraudulent business practices in the jurisdiction where the advertisements are displayed.

These obligations are important to maintain compliance, protect your interests, and ensure the integrity of the services provided.

7. Customer Data

Matrix does not claim ownership over any of the keyword data, paid search campaigns, or other materials that you submit to the Services (referred to as "Customer Data").

Matrix may utilize the Customer Data to provide the Services to you. This includes processing the Customer Data to facilitate the provision of Services, storing or hosting the Customer Data for your access, and sharing it with Matrix's partners in limited circumstances.

While your private Customer Data remains accessible only to you and authorized individuals specifically designated by you, you acknowledge and agree that Matrix has the right to use the aggregated metrics, data, and trends derived from your Customer Data for the purpose of compiling, analyzing, and sharing them with third parties. This usage will not include any personally identifiable Customer Data. Additionally, you acknowledge that Matrix may be required to disclose your Customer Data to governmental, court, or law enforcement authorities in response to applicable requests or requirements related to the Services. 8. Indemnification

Both parties warrant that their respective performance under the agreement will not knowingly or intentionally infringe upon any copyright, trade secret, trademark, patent, invention, or any other rights of any third party.

You agree to indemnify and hold Matrix harmless from any costs, damages, and liabilities, including attorney fees, arising from your negligent or intentional acts that violate any copyright, trade secret, trademark, service mark, patent, invention, proprietary information, or nondisclosure rights of third parties.

You are responsible for expenses and damages incurred by Matrix resulting from claims made by third parties related to the usage of material provided by you, even after the termination of the agreement.

It is important to comply with all applicable laws and ensure that your use of the services does not infringe upon the intellectual property or proprietary rights of any third party.

9. No Guarantees

You acknowledge and agree that Matrix does not provide specific guarantees or warranties regarding the type of ads, providers, publishers, or the placement of paid search advertising on your behalf. Matrix does not guarantee any specific results or performance outcomes from other providers.

Matrix does not warrant the specific number of calls, clicks, impressions, or website visits that your ads will receive. Additionally, Matrix cannot guarantee that paid search advertising will always appear in response to a particular query.

While Matrix strives for error-free performance, it does not provide a warranty that the services will be entirely free from errors. However, Matrix will take immediate action to rectify any identified errors.

Please note that Matrix cannot guarantee the exact timing of ad publication, as it may be subject to third-party approval processes.

10. Disclaimer of Warranties

To the fullest extent permitted by applicable law, Matrix and its suppliers disclaim all warranties that are not expressly stated in this document, whether they are express or implied. This includes, but is not limited to, implied warranties of merchantability and fitness for a particular purpose, with respect to Matrix services.

11. Force Majeure

Neither you nor Matrix will be considered in breach of their obligations under these Terms and Conditions of Service, except for the obligation to make payments, if the party is unable to perform all or part of its obligations due to causes beyond its reasonable control. Such causes may include, but are not limited to, governmental regulation, fire or other casualties, inability to obtain materials or services, technical failures or difficulties, internet problems or interruptions, or any other cause that is not within the reasonable control of either party.

12. Assignment

Matrix reserves the right to assign, delegate, or subcontract any of its rights or obligations under these Terms and Conditions of Service to third parties.

13. Miscellaneous

These Terms and Conditions of Service constitute the entire agreement between the parties concerning the provision of services by Matrix.

14. Miscellaneous

All credit/debit cards details and personally identifiable information will NOT be stored, sold, shared, rented or leased to any third parties.

Website will NOT deal or provide any services or products to any of OFAC (Office of Foreign Assets Control) sanctions countries in accordance with the law of Saudi Arabia

  • - We accept payments online using Visa and MasterCard credit/debit card in SAR.
  • - Refunds will be done only through the Original Mode of Payment
  • - Any dispute or claim arising out of or in connection with this website shall be governed and construed in accordance with the laws of Saudi Arabia.

These Terms and Conditions of Service constitute the entire agreement between the parties concerning the provision of services by Matrix.
